Client Classification

Client classification is an important part of the legal and regulatory framework that may apply to investment-related relationships. Different categories of client may be treated differently for the purposes of disclosure, communication, product access, eligibility, due diligence, documentation, warnings, and the level of protection that may be available. 1. Why Client Classification Matters

Client classification can affect the form and depth of disclosures, the types of warnings provided, the assumptions that may be made about knowledge and experience, the extent of eligibility screening, and the legal routes that may or may not be available if a dispute arises. In some cases, access to a service may be limited to a particular category of client or to clients acting through an authorised intermediary or private arrangement.

2. Common Categories

In broad terms, market practice often distinguishes between retail clients, professional clients, eligible counterparties, institutional investors, and other sophisticated or permitted categories depending on the jurisdiction. The terminology, criteria, and consequences vary by country and legal framework. Where this applies, communications, documentation, and protections may differ materially from those applicable to retail-facing arrangements. Such status is typically determined by law, regulation, or the nature of the entity involved.

6. Acting Through Representatives, Intermediaries or Structures

Additional considerations may arise where a person acts through a financial adviser, intermediary, trustee, family office, corporate vehicle, nominee, partnership, attorney, or other representative arrangement. In such cases, we may need to identify not only the immediate contact but also the underlying principal, beneficial owner, decision maker, authorised signatory, or source of authority. We may request evidence of authority, identification documents, constitutional documents, and related due-diligence materials.

7. Reassessment and Ongoing Information

Where classification is relevant, it may be reviewed from time to time in light of changes to circumstances, proposed services, documentation, legal requirements, or information provided. You should notify us of any material change to the information relevant to your status, capacity, authority, ownership, financial circumstances, or jurisdictional position. A failure to provide updated information may affect the services we can provide or may lead to restrictions or termination of discussions.
